Welcome to DELEMATE™. These Terms and Conditions (“Terms”) govern your use of our services, website, and any other digital or physical assets associated with DELEMATE™. By accessing or using any part of our services, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.
1. Services Provided
DELEMATE™ offers a licensed framework designed to streamline business operations. Our services include, but are not limited to:
• Operational system installation
• Process automation
• Team delegation strategies
• Consulting and strategic planning
• Implementation support
We reserve the right to update or modify our service offerings at any time.
2. Eligibility
You must be at least 18 years old to use our services. By engaging with DELEMATE™, you represent that you have the legal authority to bind your business or organization to these Terms.
3. Client Responsibilities
As a client, you agree to:
• Provide accurate and timely information necessary for service delivery
• Collaborate with our team during implementation
• Respect agreed timelines and project schedules
• Pay all fees according to the terms outlined in your invoice or service agreement
4. Payments and Refunds
All payments for services are due as outlined in the service agreement or invoice. DELEMATE™ may offer milestone billing, retainers, or fixed-fee packages.
Unless otherwise stated, all fees are non-refundable. Any request for cancellation or refund must be submitted in writing and is subject to approval.
5. Intellectual Property
All content, tools, templates, and materials provided by DELEMATE™ are the intellectual property of DELEMATE™ and may not be copied, distributed, or resold without express written permission.
Clients are granted a non-transferable, non-exclusive license to use the DELEMATE™ framework within their organization only.
6. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the course of the engagement.
This includes, but is not limited to, business plans, client data, trade secrets, financials, and systems.
7. Limitation of Liability
To the fullest extent permitted by law, DELEMATE™ shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, data, or business opportunities, arising out of or related to your use of our services.
Our total liability under these Terms shall not exceed the amount paid by you for services rendered in the past 12 months.
8. Warranties and Disclaimers
DELEMATE™ makes no warranties, express or implied, about the outcomes of its services. While we are committed to delivering proven systems, success depends on your organization’s participation and execution.
Services are provided “as is” without warranty of any kind.
9. Termination
We reserve the right to terminate or suspend service if:
• You breach these Terms
• Payment is not received on time
• Cooperation necessary to complete the service is withheld
Upon termination, you agree to cease use of DELEMATE™ proprietary materials and frameworks.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.
11. Changes to Terms
We may revise these Terms from time to time. The most current version will always be available on our website. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms.
